THIS LICENSE AGREEMENT, is between you (the “Licensee”), and PortfolioMobi (the “Licensor”). By purchasing any products licensed by PorftolioMobi, you agree to the following:
1. Ownership of Work

Licensor owns all proprietary rights in and to all copyrightable works, generally described as Mobile Web App, all of which are displayed and viewable at http://www.portfoliomobi.com (the "Work"), and has the exclusive right to license others to produce, copy, make, or sell the Work.

2. Grant of License

PortfolioMobi grants you a non-exclusive license to install and use PortfolioMobi Product consistent with the expressed terms and conditions of this License Agreement. This includes the right to install and use ONE copy of PortfolioMobi per domain name and to make a reasonable number of copies of PortfolioMobi for backup and archival purposes. Licensee may not use the Work in projects that it intends to sell or distribute.

3. License Prohibitions

Licensee may not do anything with the Work that is considered by PortfolioMobi (acting reasonably) as or under applicable law is considered pornographic, obscene, immoral, infringing, defamatory or libelous in nature, or that would be reasonably likely to bring any person or property reflected in the Work into disrepute.

4. Assignment

Licensee may not convey, sublicense, assign, transfer, pledge, hypothecate, encumber or otherwise dispose of this Agreement without the written consent of the Licensor.

5. Indemnification

Licensee shall fully indemnify, defend, and hold harmless Licensor from and against any and all claims, losses, damages, expenses, and liability.

6. Description of Other Right and Limitations

  • (a) Support Services. PortfolioMobi may provide you with support services related to PortfolioMobi (collectively referred to as "Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of PortfolioMobi and subject to the terms and conditions of this LICENSE AGREEMENT.

  • (b) Footer credit links. You shall not remove or alter any footer credit links on your installation or use of PortfolioMobi. Removal or alteration of the footer credit links will void all customer support, future upgrades, and constitutes a material breach of this LICENSE AGREEMENT.

  • (c) Prohibition on Reverse Engineering, Decompilation, and Disassembly. You shall not reverse engineer, decompile, or disassemble PortfolioMobi, except and only to the extent that such activity is expressly permitted by PortfolioMobi.

  • (d) Compliance with Applicable Laws. You agree to comply with all applicable laws regarding use of PortfolioMobi.

    • 7. Acknowledgment

    YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT PRIOR TO AGREEING TO IT. IN CONSIDERATION OF PORTFOLIOMOBI AGREEING TO PROVIDE THE WORK, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND THE LICENSOR, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER OMMUNICATION BETWEEN YOU AND THE LICENSOR RELATING TO THE SUBJECT OF THIS AGREEMENT.
